Enterprise Licensing Agreement & Terms of Service

This Enterprise Licensing Agreement ("Agreement") forms a legally binding contract between CyCity Inc. ("CyCity", "we", "us", or "our") and the enterprise entity ("Licensee", "you", or "your") deploying the CQWS architecture. By downloading, installing, or executing the CQWS kernel module, you explicitly agree to these strict operational constraints.

1. Grant of License

Subject to your continuous compliance with these terms and timely payment of all subscription fees, CyCity grants you a revocable, non-exclusive, non-transferable, limited license to deploy the CQWS software strictly for internal corporate or government network protection.

This license is hardware-bound. It authorizes deployment strictly on the registered nodes provisioned through the CQWS Billing Portal. Any attempt to clone, duplicate, or virtualize licensed environments beyond the agreed node-count constitutes a material breach of this Agreement.

2. Strict Prohibition on Reverse Engineering

The CQWS architecture involves highly sensitive, proprietary cryptographic methodologies, specifically regarding the Hybrid Entropy Pool and Pauli-Matrix masking algorithms.

You are strictly and explicitly prohibited from:

• Decompiling, reverse-engineering, disassembling, or attempting to extract source code from the compiled CQWS kernel module (`cqws_ultimate.ko`) or any associated binaries.
• Attempting to bypass, alter, or spoof the ML-DSA identity verification handshakes or license-checking subroutines.
• Deploying dynamic analysis tools, debuggers (e.g., GDB), or kernel-probes (e.g., kprobes) against the running CQWS module to inspect its memory space or entropy extraction methods.

Any violation of this clause will trigger the module's anti-tamper mechanisms, resulting in an immediate kernel panic to preserve cryptographic integrity, and will permanently and irrevocably terminate your Enterprise License without refund.

3. Limitation of Liability and Assumption of Risk

CYCITY MAKES NO WARRANTIES CONCERNING SYSTEM UPTIME, KERNEL STABILITY, OR DATA LOSS CAUSED BY IMPROPER DEPLOYMENT.

CQWS operates directly at Ring-0 (the kernel layer). Deploying kernel-level modules carries inherent, severe risks to operating system stability. While the software undergoes rigorous quality assurance testing, any kernel module possesses the capacity to trigger unrecoverable system crashes (Kernel Panics) if it encounters hostile hardware architectures, incompatible competing kernel modules, or severe entropy starvation.

To the maximum extent permitted by applicable law, in no event shall CyCity, its affiliates, directors, or employees be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of:

• Loss of revenue, profit, or anticipated business contracts due to network downtime.
• Loss of data, data corruption, or the inability to recover ciphertexts.
• Financial losses related to ransomware extortion payments, regulatory fines, or incident response forensics.

Our maximum aggregate liability for any claims under this Agreement shall not exceed the total amount paid by you for the CQWS subscription in the twelve (12) months preceding the event giving rise to the liability.

4. Compliance with Export Controls

CQWS utilizes military-grade, information-theoretic encryption and implements standardized Post-Quantum Cryptography (NIST FIPS 203/204). The export of this software is strictly regulated by the Bureau of Industry and Security (BIS) and international cryptography export laws (e.g., the Wassenaar Arrangement).

By utilizing CQWS, you warrant that you will not export, re-export, transfer, or deploy the software to any embargoed nations, sanctioned entities, or individuals listed on the Specially Designated Nationals (SDN) list. Licensees are entirely responsible for securing their own localized export/import compliance prior to cross-border deployment.

5. Service Availability & Fail-Closed Architecture

The fundamental design ethos of CQWS is that data confidentiality supersedes network availability. If the CQWS kernel module exhausts its entropy pool, fails its continuous DRBG health checks, or detects a systemic compromise during the identity handshake, it is architected to Fail Closed.

Failing closed means the module will actively drop all network connections rather than failing open and transmitting sensitive data in plaintext or weakly-encrypted formats. You acknowledge that this defensive posture may result in abrupt network unavailability, and you accept this behavior as a necessary condition of Information-Theoretic Security.

6. Termination and Revocation

CyCity reserves the right to suspend or terminate your license immediately and without prior notice if you breach any of the material terms of this Agreement (specifically including payment failure or reverse-engineering attempts). Upon termination, all active ML-DSA identity certificates associated with your organization will be immediately added to the global Certificate Revocation List (CRL), ceasing all secure communications utilizing the CQWS module across your infrastructure.
